Young Peacebuilders Club Membership Tools & Support Agreement


Purpose 
This Young Peacebuilders Club Membership Agreement (YPCMA) sets the terms and understanding between Young Peacebuilders (hereinafter referred to as YP) and the organization represent (hereinafter referred to as Member) to implement one or more Young Peacebuilders Clubs (YPCs) with the support of YPC products and services provided by YP. Both parties in this agreement hereby commit themselves to honor and fulfill their parts of the agreement in full.

Intellectual Property
All of YP’s intellectual property remains the property of YP before, during and after this agreement. All manuals, materials, forms, evaluation frameworks, training, and other materials YP makes available to the Member are for use during the terms of this agreement only. Data related to the project outlined in this Agreement and received in forms, interviews, focus groups, emails, or other means from Member and Member’s participants shall remain with YP after this agreement ends and when still available shall be provided to Member for use after this agreement to the best of YP’s ability. 

Responsibilities Agreed
In order to effectively and safely start, support, monitor, evaluate, and improve YPCs, after YP receives the agreed compensation from Member, YP and Member agree to fulfill the following obligations and responsibilities:

YP’s Responsibilities.
  1. Help Member identify the most efficient means of leveraging Member’s existing efforts and relationships to start YPCs.
  2. Coach Coordinator(s) who in turn guide YPC Mentors and Student Leaders for each YPC.
  3. Evaluate and report on findings from surveys from Member’s Coordinator(s), and YPC Mentors, and students.
  4. If requested, help facilitate collaboration between Member and YPCs globally.
  5. Ensure Member has access to YPC related resources, as required, in order to carry out YPC activities, including but not limited to:
    5. 1Access to online and printable YPC training materials to help equip Member and their YPC participants to successfully start, operate, and evaluate YPCs;
    5.2 The YPC Training Manual that clearly explains the step-by-step YPC process and provides templates, examples, links to supporting resources, Q&A, and more;
    5.3 A growing library of training videos offering additional guidance on supporting YPCs;
 5.4 The Student Handbook offering key concepts and guides for younger students while using plenty of visual aids;
5.5 The YPC Mentor Handbook that makes mentoring YPCs easier by providing key tips, tools, guidelines, and links in a condensed format for fast access;
5.6 Coordinator Handbook that makes mentoring YPCs easier by providing key tips, tools, guidelines, and links in a condensed format for fast access;
5.7 YPC Tools that help increase the safety and quality of Member'’s work with children (e.g. YP’s Child Protection and Behavior Protocol to use or contextualize; Child Participation and Image Use Consent Forms; Project planning/accounting tools);
5.8 Certifications of Completion of training for Mentors and Student Leaders;
5.9 Certified Coordinator Awards for those who complete the certification process.
5.10 YPC Surveys online and offline, such as YPC Baseline, Cycle End, and Project Evaluation Surveys, to improve YPC tools and processes and measure impact. Responses will also be analyzed and findings produced to further assist the Member.
   6.     Respond to Member within a reasonable period of time, using whichever reasonable method is prefered or       accessible by Member (e.g. including, but not limited to: email, Skype, and/or WhatsApp).
7. Provide the following to assist Member in raising funds to support YPC expansion costs:
7.1 Provide a list of donors for Member to consider applying for funding
7.2 Provide a short editable funding concept note for Member to use
7.3 Provide a template for a full YPC funding proposal that Member may edit and use

Member’s Responsibilities.
  1. Ensure that YPCs meet the following quality standards on an ongoing basis:
    1. Help YPC Coordinator(s) liaise with YP support staff
    2. Ensure each YPC maintains a minimum of two trained Adult Mentors, no more than 20 students, and gathers at least twice monthly
    3. Ensure Coordinators and Mentors are trained, maintain YP Child Protection Protocols, and provide quality support to YPCs
    4. Ensure YPCs diligently work through the YPC curriculum to explore, prioritize, design, implement, and evaluate projects that build peace and reduce violence, thereby, completing at least 1 full project cycle within no more than 6 months
    
  2. Follow reporting and communications protocols:

2. 1. Ensure YPC Baseline, Cycle End, and Project Evaluation Surveys, are carried out thoroughly and correctly and submitted to YP within the required timeframe
2.2. Abide by YP’s Social Media and Image Use Policy and other relevant best practices that help ensure participant’s safety, especially children
2.3. Encourage and help YPCs safely share with YP their progress, accomplishments and activities, and when appropriate, post updates on social media streams
2.4.Throughout the process provide YP feedback on how to improve our YPC products, services, and processes supporting YPC Members

3. Follow accountability and protection protocols:

3.1. Provide YP with Member’s current legal registration documents and update them when necessary
3.2. Ensure all Adult Mentors, Coordinators and other support staff, including volunteers, are screened according to child protection standards in the country of operation. If no screening requirements exist in the operational area, adults will be screened according to the Minimum Standards for Child Protection in Humanitarian Action (The Alliance, 2019)
3.3. Ensure all involved with a YPC follow YP’s Code of Conduct and Behavior Protocol and all YPC members are made aware of procedures for reporting behavior that does not follow the YP Protocol
3.4.Hold appropriate levels of Liability Insurance for any YP related programs and name Young Peacebuilders as additional insured


4. Additional Responsibilities:

4.1. Civil Behavior: YPC Members and their participants and all users of YP’s online tools or platforms (hereinafter collectively “Users”) are expected to behave civilly and contributions off and online should be both relevant and tasteful. Users should not behave in a way that would break US law, or any other applicable laws, or that would cause harm of any kind to YP’s online platform or its users. YP takes no responsibility for Users’ contributions or those of any other user.
4.2. If YP provides bulletin boards, chat rooms, access to mailing lists or other message or communication facilities (hereinafter collectively “Forums”), the User agrees to use the Forums only to send and receive messages and materials that are proper and related to the particular Forum. By way of example and not as a limitation, the User agrees that when using a Forum, he or she shall not do any of the following:
4.2.1. Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
4.2.2. Publish, post, distribute or disseminate any defamatory, infringing, obscene, indecent or unlawful Material or information or any other content that advocates unsafe or illegal activities (e.g. drug abuse, bomb making) or features graphic or gratuitous violence;
4.2.3. Express any view that could be considered hate speech (speech which attacks or demeans a group based on race or ethnic origin, religion, disability, gender, age, veteran status, and sexual orientation/gender identity);
4.2.4 Upload or attach files that contain software or other Material protected by intellectual property laws (or by rights of privacy and publicity) unless the User owns or controls the rights thereto or has received all consents therefor as may be required by law;
4.2. 5 Upload or attach files that contain viruses, corrupted files or any other similar software or programs that may damage the operation of another’s computer;
4.2. 6 Delete any author attributions, legal notices or proprietary designations or labels in any file that is uploaded;
4.2.7. Falsify the origin or source of software or other Material contained in a file that is uploaded;
4.2.8. Advertise or offer to sell any goods or services, or conduct or forward surveys, contests or chain letters, or download any file posted by another User of a Forum that the User knows, or reasonably should know, cannot be legally distributed in such manner.
4.3  Users acknowledge that all Forums and discussion groups are public and not private communications. Further, the User acknowledges that chats, postings, conferences, e-mails and other communications by other Users are not endorsed by YP, and that such communications shall not be considered to have been reviewed, screened or approved by YP. 
4.4. YP reserves the right to remove, for any reason and without notice, any content of the Forums received from Users, including, without limitation, email and bulletin board postings.


5. Termination: The YPC Membership can be terminated at any time by either YP or the Member following a consultation period of 30 (i.e. thirty) calendar days or a period as agreed otherwise between the parties, and thereafter giving 30 (i.e. thirty) calendar days written notice of termination to the other party. The reason for termination must be clearly defined and may be, but is not limited to, either party consistently failing to meet any of the aforementioned obligations and responsibilities. The party canceling the agreement must have demonstrated and documented all reasonable efforts in maintaining the YPC Membership prior to informing the failing member of a proposal to cancel the YPC Membership. This agreement, however, may be terminated immediately if there is abuse, negligence, or serious neglect by either party. A prorated refund of a paid annual YPC Membership may only be made if the criteria above is met and the YPC Membership fee was paid directly by the Member and not a sponsor.

6. Funding: YP is not a funding organization and will not financially support Members. YP will not pay any of the Member’s costs associated with implementing YPCs or any other costs.

7. Management of the YPC Membership: The YPC Membership will be managed by both the Member and YP. YPC Coordinators are recruited by and work for the Member. YP trains and advises Coordinators on the YPC implementation. The Member’s Coordinators are responsible for recruiting and supporting YPC Mentors and Student Leaders. 

8.  Representation: This agreement does not include any form of permanent union between the YP and Member; both YP and Member remain separate entities. The Member does not represent YP in any form, nor does YP represent the Member, unless otherwise specifically agreed in writing.

9. Relationship Terms: Nothing contained in this Agreement establishes or will be construed as establishing or constituting an employment agreement between YP and Member. Neither YP nor Member may incur any obligations or enter into any agreements on behalf of one another without prior mutual written permission specifying the terms and obligations of such an agreement.

10. Disclaimer: All YPC related resources are for information purposes only. Members  are responsible for their own safety and the safety of YPC Adult Mentors, students and participants in related activities, especially children. Members are responsible for taking significant and reasonable measures to ensure the safety of participants in the YPCs they support. YP assumes no responsibility for errors or omissions in the contents of YPC related resources. In no event shall YP be liable for any special, direct, indirect, consequential, or incidental damages or any damages whatsoever, whether in an action of contract, negligence or other tort, arising out of or in connection with the use of YPC related resources.

11. Hold Harmless: The Member hereby assumes all risk of injury or harm as a result of the activities specified above and agrees to release, indemnify, defend, and forever discharge the release from all liability, claims, demands, damages, costs, expenses, and causes of action due to death, injury, loss, or damage to the undersigned and/or any participants in any YP related activity. The Member, it’s representatives, heirs, executors, administrators, assigns, or personal representatives, knowingly and voluntarily enter into this waiver and release of liability and hereby waive any and all rights, claims or causes of action of any kind whatsoever arising out of participation in the Activity, and do hereby release and forever discharge Young Peacebuilders and any affiliated staff, volunteers, board members, consultants, or representatives. 

12. Resource Usage Policy: Usage, distribution, and copying of all YPC related resources is limited by the terms and licenses outlined in this agreement and noted in the resources themselves. Outside this agreement, all YPC related resources may not be reproduced, distributed, or transmitted in any form or by any means, including photocopying, recording, or other electronic or mechanical methods, without the prior written permission of the publisher, except in the case of brief quotations embodied in critical reviews and certain other noncommercial uses permitted by copyright law. 13. Communication: The Member agrees to receive all notices via any email used to register their account. The Member agrees to update their email immediately if there is any change. The contact information on adults and minors that YP receives through or related to this YPC Membership (including but not limited to surveys, logins, forms, and support services) may be used by YP in accordance with relevant laws to educate, inform, and market products and services. Consent is given without expiration or expectation of any payment type now or in the future and does not require additional permission. 

14. Arbitration: Where negotiations between senior management cannot resolve a dispute, a mutually agreed independent arbitrator will be appointed to do so. All disputes, controversies, or differences that arise out of or in connection with this Agreement shall be construed and governed in accordance with the laws of Michigan, USA exclusively.

15. Confidentiality: Parties agree to share information pertaining to the YPC Membership with each other. Barring mandatory disclosure to Donors, Government, and other statutory authorities, the agreement and its details shall be kept confidential and shall not be disclosed to others without prior consent of the other party. Each party agrees to immediately return and not retain copies of any confidential information and/or property of the other party upon the termination of this Agreement and/or upon the owner’s request. YP may publicize the Member organization's name unless Member instructs YP in writing to not do so.

16. Changes: YP reserves the right to make additions, deletions, or modifications to the contents of this YPC Membership Agreement at any time without prior notice.
